Background

These Terms and Conditions, together with any and all other documents referred to herein, set out the terms of use under which you may use MarCloud Integration Audit at audit.marcloudconsulting.com ("Our Web App").

Please read these Terms and Conditions carefully and ensure that you understand them. You will be required to read and accept these Terms and Conditions when signing up for an Account and purchasing Audit Credits.

If you do not agree to comply with and be bound by these Terms and Conditions, you must stop using Our Web App immediately.

1. Definitions and Interpretation

In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:

• "Account" means an account required to access and use Our Web App, as detailed in Clause 4.
• "Audit" means a single analysis of a connected HubSpot portal, consuming one Audit Credit.
• "Audit Credit" means a single-use entitlement to run one Audit through Our Web App.
• "Audit Report" means the output of an Audit, including RAG (Red/Amber/Green) scoring and recommendations.
• "Content" means any and all text, images, audio, video, scripts, code, software, databases and any other form of information capable of being stored on a computer that appears on, or forms part of, Our Web App.
• "Contract" means the contract between Us and you for the purchase of Audit Credits, as explained in Clause 6.
• "Free Audit Credit" means the single complimentary Audit Credit provided upon Account creation, which provides limited preview access to Audit results.
• "HubSpot Portal" means a HubSpot account connected to Our Web App via OAuth authorisation.
• "Purchase" means your purchase of an Audit Credit pack.
• "Purchase Confirmation" means Our acceptance and confirmation of your Purchase.
• "User" means a user of Our Web App.
• "We/Us/Our" means MarCloud Limited, Company Number 11505110.

2. Information About Us

Our Web App is owned and operated by MarCloud Limited, a limited company registered in England under company number 11505110.

3. Access and Changes to Our Web App

3.1. Access to Our Web App requires an Account. A Free Audit Credit is provided upon Account creation, granting limited preview access to one Audit. Full access to Audit results and PDF report downloads requires purchased Audit Credits.

3.2. We may from time to time make changes to Our Web App, including minor technical changes, changes to reflect legal or regulatory requirements, and significant feature updates. We will endeavour to keep you informed of material changes.

3.3. We will aim to ensure that Our Web App is available at all times. In certain limited cases, We may need to temporarily suspend availability for maintenance or updates.

4. Accounts

4.1. An Account is required to use Our Web App.

4.2. You may not create an Account if you are under 18 years of age.

4.3. When creating an Account, the information you provide must be accurate and complete. If any of your information changes, it is your responsibility to ensure that your Account is kept up-to-date.

4.4. We require that you choose a strong password for your Account. It is your responsibility to keep your password safe. You must not share your Account with anyone else. If you believe your Account is being used without your permission, please contact Us immediately. We will not be liable for any unauthorised use of your Account.

4.5. Any personal information provided in your Account will be collected, used, and held in accordance with your rights and Our obligations under data protection law, as set out in Our Privacy Policy.

4.6. If you wish to close and delete your Account, you may do so at any time by emailing support@marcloudconsulting.com. Closing your Account will result in the removal of your personal information from Our system. Any unused Audit Credits will be forfeited upon Account closure. Audit results and reports will be permanently deleted.

5. Audit Credits, Pricing and Availability

5.1. Audit Credits are sold in packs. Current pricing is displayed on Our pricing page. We reserve the right to change prices at any time. Changes will not affect Credits that have already been purchased.

5.2. Each Audit Credit entitles you to run one Audit on one connected HubSpot portal. Credits may be used across any portal connected to your Account.

5.3. Audit Credits are valid for 12 months from the date of purchase. Unused Credits expire after this period and are non-refundable.

5.4. A Free Audit Credit is provided to each new Account upon creation. The Free Audit Credit provides limited preview access — a summary of findings is visible, but detailed results, recommendations, and PDF report downloads require purchased Audit Credits.

5.5. All pricing is in GBP and exclusive of VAT where applicable.

6. Purchases — How Contracts Are Formed

6.1. By purchasing Audit Credits, you are making Us a contractual offer that We may, at Our sole discretion, accept. Our acceptance is indicated by Us sending you a Purchase Confirmation and adding Credits to your Account.

6.2. Payments are processed by Stripe. We do not store your payment card details.

6.3. If We do not accept or cannot process your Purchase for any reason, no payment will be taken under normal circumstances. If We have taken payment in such circumstances, the payment will be refunded to you as soon as possible and in any event within 28 days.

7. Refunds and Cancellations

7.1. Once an Audit Credit has been used to run an Audit, it is consumed immediately and is non-refundable.

7.2. Unused Audit Credits may be refunded within 14 calendar days of purchase, provided no Credits from that purchase have been used. To request a refund, contact support@marcloudconsulting.com.

7.3. After 14 days, unused Audit Credits are non-refundable but remain valid for 12 months from the date of purchase.

7.4. We may cancel your Account and/or void your Credits in the event of a breach of these Terms and Conditions. If We take such action, you will be notified by email.

8. HubSpot Portal Access

8.1. To run an Audit, you must connect a HubSpot portal to your Account via OAuth authorisation. Our Web App requests read-only access to your HubSpot data.

8.2. By connecting a HubSpot portal, you confirm that you have the authority to grant Us read-only access to that portal's data for the purpose of running Audits.

8.3. We do not write to, modify, or delete any data in your HubSpot portal. All access is read-only.

8.4. We collect and analyse portal data including but not limited to: contact, company, and deal counts and properties; workflow and automation metadata; email performance statistics; pipeline and deal stage data; user and permission information; and connected integration data.

8.5. You may disconnect a HubSpot portal from your Account at any time by revoking the OAuth authorisation in your HubSpot settings or by removing the portal from your Account dashboard.

9. Audit Reports and Recommendations

9.1. Audit Reports are generated automatically based on data retrieved from your HubSpot portal via the HubSpot API. Reports include RAG (Red/Amber/Green) scoring and recommendations structured around the MarCloud ROI Framework.

9.2. Audit Reports provide automated analysis and general guidance. They do not constitute professional advice. Recommendations are based on the data available at the time of the Audit and should be validated by qualified professionals before implementation.

9.3. We are not liable for the accuracy of data provided by the HubSpot API. If the HubSpot API returns incorrect, incomplete, or outdated data, Our Audit results will reflect that data.

9.4. Some Audit checks require manual expert review and cannot be fully automated. These items are clearly identified in the Audit Report.

10. Our Intellectual Property Rights

10.1. The audit methodology, ROI Framework, recommendation templates, scoring algorithms, report design, and all underlying code belong to or have been licensed by Us. All Content is protected by applicable intellectual property laws.

10.2. You may download and share your Audit Reports for internal business purposes. You may not redistribute, resell, or commercially exploit the audit methodology, report templates, or scoring logic.

10.3. By accepting these Terms and Conditions, you agree not to copy, reverse engineer, or attempt to replicate Our Web App or its audit methodology.

11. Limitation of Liability

11.1. We exercise all reasonable skill and care in providing Our Web App and generating Audit Reports. However, We do not guarantee that the Web App will be error-free, uninterrupted, or that all findings will be accurate.

11.2. Our total liability to you in respect of all losses arising under or in connection with these Terms and Conditions shall not exceed the total amount paid by you for Audit Credits in the 12 months preceding the event giving rise to the liability.

11.3. We accept no liability for loss of profits, sales, business or revenue; loss of business opportunity, goodwill or reputation; loss of anticipated savings; business interruption; or for any indirect or consequential loss or damage.

11.4. Nothing in these Terms and Conditions excludes or restricts Our liability for death or personal injury resulting from negligence, fraud or fraudulent misrepresentation, or any other forms of liability which cannot be excluded or restricted by law.

12. Privacy and Data Protection

Use of Our Web App is also governed by Our Privacy Policy, available at audit.marcloudconsulting.com/privacy.

13. Communications

13.1. If you have an Account, We may from time to time send you important notices by email relating to service changes, these Terms and Conditions, or your Account.

13.2. We will not send you marketing emails without your express consent.

14. Changes to these Terms and Conditions

14.1. We may alter these Terms and Conditions at any time. Any such changes will become binding on you upon your first use of Our Web App after the changes have been implemented. You are therefore advised to check this page from time to time.

15. Law and Jurisdiction

15.1. These Terms and Conditions, the Contract, and the relationship between you and Us shall be governed by, and construed in accordance with, the law of England & Wales.

15.2. If you are a consumer, any disputes shall be subject to the jurisdiction of the courts of England, Wales, Scotland, or Northern Ireland, as determined by your residency.

15.3. If you are a business, any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
